END USER LICENCE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legally binding agreement between Investnet (Pty) Ltd (“Investnet”, “we”, “our”, or “us”) and the individual or entity (“Customer”, “User”, or “you”) accessing, installing, activating, or using the VRTX™ Multi-Indicator Trading Tool (“Software”).

By installing, activating, or using VRTX™, you acknowledge that you have read, understood, and agree to be bound by this Agreement, together with our Disclaimer and Privacy Policy.

If you do not agree to these terms, you may not install, activate, or use the Software.

Licence Grant

Subject to your compliance with this Agreement, Investnet grants you a limited, non-exclusive, non-transferable, revocable license to install and use VRTX™ solely for your own personal trading activities.

This Agreement grants a license to use the Software only. No ownership rights are transferred.

Ownership

VRTX™, including all software, source code, algorithms, indicators, documentation, graphics, branding, trademarks, educational materials, updates, and related intellectual property, remains the exclusive property of Investnet (Pty) Ltd.

Nothing in this Agreement transfers ownership of any intellectual property to you.

Permitted Use

You may:

  • Install the Software using your authorised licence.
  • Use the Software for technical analysis of supported financial markets.
  • Receive software updates where applicable.
  • Receive technical support where included with your licence.

Restrictions

You may not:

  • Copy, reproduce, distribute, or resell the Software.
  • Modify, translate, adapt, or create derivative works.
  • Reverse engineer, decompile, or disassemble any part of the Software except where permitted by applicable law.
  • Remove or alter copyright notices, trademarks, or proprietary markings.
  • Share, rent, lease, sublicense, or transfer your licence to another person without written permission from Investnet.
  • Attempt to bypass licensing, activation, or security mechanisms.
  • Use the Software for any unlawful purpose.

Activation

VRTX™ requires a valid software license issued by Investnet.

Following purchase, authorised users will receive activation instructions and, where applicable, access credentials.

Investnet reserves the right to suspend or deactivate licenses that are used contrary to this Agreement.

Updates

Investnet may periodically release updates, improvements, enhancements, bug fixes, or new features.

Some updates may be mandatory to maintain compatibility, security, or functionality.

Investnet is under no obligation to develop specific new features requested by users.

Technical Support

Technical support is provided in accordance with the support services included with your licence.

Support may include:

  • Software installation assistance
  • Activation assistance
  • Technical troubleshooting
  • General software guidance

Support does not include financial advice, investment recommendations, portfolio management, or trading decisions.

Licence Purchase

VRTX™ is licensed to the Customer upon payment of the applicable once-off licence fee.

  • The licence granted under this Agreement is subject to the terms of the applicable quotation, invoice, or order confirmation issued by Investnet (Pty) Ltd.
  • Unless otherwise agreed in writing, the purchase of VRTX™ grants the Customer a licence to use the Software and does not transfer ownership of the Software or any associated intellectual property.
  • Any optional future upgrades, additional modules, support services, or maintenance plans may be offered separately and are not included unless specifically stated.

No Financial Advice

VRTX™ is a technical analysis tool.

The Software provides analytical information based on technical indicators and predefined analytical models.

VRTX™ does not provide financial, investment, tax, accounting, or legal advice and should never be interpreted as a recommendation to buy, sell, or hold any financial instrument.

All trading decisions remain solely your responsibility.

No Guarantee of Performance

Investnet makes no representation or warranty that:

  • the Software will identify profitable trading opportunities;
  • the Software will prevent trading losses;
  • the Software will improve investment performance;
  • any strategy using the Software will be successful.

Trading financial markets involves significant risk.

Past performance is not indicative of future results.

Third-Party Services and Market Data

VRTX™ may rely on third-party market data, charting services, or data providers.

Investnet does not guarantee the availability, accuracy, completeness, or uninterrupted delivery of third-party data.

Temporary interruptions or inaccuracies beyond our control do not constitute a breach of this Agreement.

Disclaimer of Warranties

To the fullest extent permitted by law, VRTX™ is provided “as is” and “as available.”

Investnet makes no express or implied warranties regarding:

  • merchantability;
  • fitness for a particular purpose;
  • uninterrupted operation;
  • error-free performance;
  • compatibility with all hardware or operating systems.

Limitation of Liability

To the fullest extent permitted by law, Investnet shall not be liable for any direct, indirect, incidental, consequential, special, or financial losses arising from:

  • use of the Software;
  • inability to use the Software;
  • trading decisions;
  • loss of profits;
  • loss of business opportunities;
  • interruption of trading activities;
  • technical failures;
  • third-party market data interruptions.

Your sole remedy for dissatisfaction with the Software is to discontinue its use.

Suspension and Termination

Investnet may suspend or terminate your licence if:

  • you breach this Agreement;
  • you engage in unlawful activity;
  • licence fees remain unpaid where applicable;
  • you misuse the Software or attempt to circumvent licensing controls.

Termination immediately ends your right to use VRTX™.

Privacy

Your use of the Software is also governed by our Privacy Policy.

By using VRTX™, you consent to the collection and processing of personal information as described in that policy.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes arising from this Agreement shall be subject to the jurisdiction of the South African courts.

Changes to this Agreement

Investnet may amend this Agreement from time to time.

The latest version will be published on the Investnet website.

Continued use of VRTX™ after any amendments constitutes acceptance of the revised Agreement.
